Terms of Service

1. Purpose and Scope

These Terms govern the use of theTent, websites, dashboards, login, payments, TT, generative AI production tools, and related services provided by X Holdings Inc.

By using the service, creating an account, making a payment, using TT, or submitting a generation request, you agree to these Terms and the Privacy Policy. Mandatory consumer protection laws prevail where they cannot be waived.

2. Accounts and Login

Members may create accounts through authentication methods provided by the company, including Kakao or Google OAuth. Members are responsible for account access, authentication credentials, and payment methods.

The company may refuse, hold, suspend, or restrict access where there is identity misuse, false information, payment risk, security risk, service abuse, or violation of these Terms or applicable law.

3. Services and AI Outputs

The service provides image, video, voice, script, editing, history, model selection, TT payments, and external AI model routing.

AI outputs may vary in quality, speed, and availability depending on policies and technical conditions of OpenAI, Google/Gemini, fal.ai, ByteDance, Kling, the company infrastructure, and routing partners.

AI outputs are probabilistic. The company does not guarantee factual accuracy, originality, copyright status, commercial fitness, platform approval, or non-infringement of third-party rights.

4. TT and Expiration

TT is a service-only usage unit for AI generation. TT is not cash, electronic money, a prepaid payment instrument, a deposit, or a security, and cannot be exchanged, transferred, or pledged outside the service.

Paid top-up TT expires 180 days after purchase or grant. Expired TT lapses and is not refundable except where a mandatory legal refund obligation applies.

Free TT granted through promotions, events, rewards, trials, or admin adjustments may be used only during the displayed or company-designated period. If no period is shown, it expires 30 days after grant. Free TT cannot be refunded, transferred, rolled over, or converted into paid TT.

The company may apply a reasonable consumption order, including shorter-expiry TT, free TT, promotional TT, subscription TT, and paid TT, where operationally necessary.

5. Subscriptions and Monthly TT

Subscriptions may renew automatically each billing cycle until canceled. Cancellation stops renewal from the next billing cycle.

Monthly TT included in a subscription is a monthly usage allowance. Unused subscription TT expires at the end of the billing month, upon cancellation, payment failure, plan change, or account suspension, and does not roll over.

Subscription TT cannot be redeemed for cash, partially refunded, converted to top-up TT, or transferred to another account, except to the extent mandatory law provides otherwise.

6. Payment, Withdrawal, Refunds

You may request withdrawal within 7 days of payment. However, withdrawal and refund may be restricted to the extent permitted by law once TT has been used or digital content/service delivery has started, including queue registration, model calls, external API transmission, rendering, editing, or upscaling.

Once a generation process starts, the related TT deduction is final. If no result is delivered due to a provider error or company fault, the company may choose reprocessing, TT restoration, or reasonable compensation.

Refunds of unused paid top-up TT follow the legally available withdrawal scope and payment processor rules. Used TT, subscription TT, free TT, promotional TT, expired TT, and improperly obtained TT are excluded from refunds.

7. Inputs and Rights

You must secure all rights and consents required for text, images, video, audio, files, brand materials, portraits, and product images you upload or input.

You represent that your inputs do not infringe copyright, trademark, portrait rights, privacy, trade secrets, reputation, publicity rights, or other third-party rights.

The company may process inputs, settings, outputs, and metadata as needed to provide the service, store results, show history, review safety, respond to incidents, settle costs, and improve quality.

8. Prohibited Use

You may not use the service for illegal content, non-consensual deepfakes, child sexual exploitation material, obscene, violent or hateful content, impersonation, unauthorized personal data, rights-infringing content, malware, payment or TT circumvention, model bypassing, automation abuse, or excessive load.

Where a violation is suspected, the company may block generation, remove outputs, reclaim TT, suspend accounts, cancel payments, report to authorities, or seek damages.

9. Intellectual Property and Commercial Use

Rights in the service, UI, logos, workflows, presets, model routing, databases, and documents belong to the company or their lawful owners.

Your permitted use of lawfully generated AI outputs is subject to these Terms, provider policies, input rights, applicable laws, and platform policies. You are responsible for checking ad disclosures, portrait, trademark, copyright, and regulated-field requirements before commercial use.

10. Service Changes and Restrictions

The company may change or discontinue all or part of the service for security, operations, cost, provider policy, legal compliance, quality improvement, or technical changes.

Free features, beta features, experimental models, promotional TT, Soon alerts, samples, and tutorials may be changed, limited, or ended without prior notice.

11. Limitation of Liability

Except for intentional misconduct or gross negligence, the company is not liable for damages arising from external AI models, cloud providers, payment processors, networks, user input errors, third-party rights disputes, or commercial use of outputs.

To the extent permitted by law, the company's aggregate liability is capped at the amount actually paid by the user to the company during the 3 months immediately before the damage occurred. Mandatory consumer protection laws prevail where applicable.

12. Termination and Governing Law

Members may request termination through account settings or customer support. Upon termination or long inactivity, free TT, subscription TT, and expired TT are not restored, and the company may retain records required by law or minimally necessary for dispute handling.

These Terms are governed by the laws of the Republic of Korea. Disputes are subject to the competent courts under civil procedure, and where an agreed jurisdiction is permitted for business users, the Seoul Central District Court will be the agreed court of first instance.
